Chopsmith Software Licence Agreement
This agreement is between SYNC HAVEN INC ("we", "us") and you, the person or business that bought or uses Chopsmith ("you"). By installing or using Chopsmith you agree to it. If you don't agree, don't install it, and ask for a refund (section 7).
1. Your licence
When you buy Chopsmith we give you a personal, non-exclusive, non-transferable licence to install and use Chopsmith and Chopsmith Remote (together, "Chopsmith") on up to three (3) Macs that you own or control, activated with your licence key. You can move the licence to a different Mac by deactivating one in your customer portal.
You may use Chopsmith to make music for any purpose, including commercial releases. Chopsmith doesn't add any claim of ours to the music you make with it.
2. The demo
Without a licence key Chopsmith runs as a demo, for you to try it before buying. The demo may only be used to evaluate Chopsmith.
3. What you may not do
- share, publish, sell or give away your licence key, or let other people activate Chopsmith with it;
- copy, rent, lend, sell, sublicense or redistribute Chopsmith (the free demo may only be shared through our own download links);
- remove, disable or work around the licence check, or modify, decompile or reverse-engineer Chopsmith, except where the law expressly allows it despite this restriction.
4. The audio you use
Chopsmith works on audio you give it, on your own computer. You are responsible for having the rights to sample, copy, transform and publish any recordings you use with Chopsmith. We don't check, own or claim anything in your audio, your projects or what you export.
5. Ownership
Chopsmith is licensed, not sold. We (and our licensors) keep all rights, title and interest in Chopsmith, its code and its name, except the rights this agreement gives you.
6. Updates and support
We may release updates, which this agreement also covers. We aren't obliged to release updates or keep Chopsmith working with future versions of macOS, Ableton Live or Max for Live, but we'll try. Support is by email at nlampert@syncpodcast.com.
7. Refunds
If Chopsmith isn't right for you, email nlampert@syncpodcast.com within 14 days of your purchase for a full refund, no questions asked. A refund ends your licence: the key is revoked and Chopsmith returns to the demo. This doesn't limit any refund or withdrawal rights the law gives you.
8. Ending the licence
Your licence ends automatically if you break this agreement or receive a refund or chargeback. When it ends you must stop using the licensed version of Chopsmith. Sections 4, 5 and 9 to 12 survive.
9. Other companies' products
Chopsmith needs Ableton Live and Max for Live, which you obtain and license separately. Ableton, Live and Max for Live are trademarks of their owners. Chopsmith is not made, endorsed or supported by Ableton or Cycling '74. Purchases are processed by Polar (polar.sh), the merchant of record, under its own terms.
10. No warranty
Chopsmith is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Keep backups of your projects.
11. Limit of liability
To the fullest extent the law allows, we aren't liable for any indirect, incidental, special or consequential damages, or for lost data, projects, profits or revenue, arising from Chopsmith. Our total liability for any claim is limited to the amount you paid for Chopsmith.
12. Governing law
This agreement is governed by the laws of the State of New York, USA, without regard to its conflict-of-laws rules. If you are a consumer, you keep any protections that the law of the place you live gives you and that can't be waived by agreement.
13. Everything else
This is the whole agreement between us about Chopsmith. If any part of it can't be enforced, the rest still applies. We may update this agreement for future versions; the version that came with your copy applies to it.
